User Agreement

1. Acceptance and Scope
This User Agreement is between you and NexusGPU PTE. LTD. ("we", "us") and governs your access to and use of the Inference Space website, console, APIs, model proxy, playground, billing, documentation, and related services (collectively, the "Service").
By registering, signing in, creating an API key, making an API request, topping up credits, or continuing to use the Service, you confirm that you have read, understood, and agreed to this Agreement. If you use the Service for an organization, you confirm that you are authorized to bind that organization.
If you do not agree to this Agreement, or if you are not eligible to accept it, you must stop using the Service.
2. Service Description
Inference Space provides an AI inference gateway for developers and businesses, including an OpenAI-compatible API, model routing, model catalog, playground, API key management, usage analytics, billing, and credit top-ups.
Depending on your selected model, region, availability, cost, or safety policy, requests may be routed to third-party model, cloud, infrastructure, payment, email, security, or operations providers. We may change available models, pricing, rate limits, features, and routing policies.
AI outputs may be inaccurate, incomplete, outdated, or unsuitable for your intended use. You are responsible for evaluating outputs and applying human review where appropriate.
3. Account Eligibility and Authority
You must have legal capacity to enter into this Agreement and be at least 18 years old. Registration, billing, and contact information must be truthful, accurate, complete, and kept current.
You may not share account credentials or API keys, rent, resell, sublicense, or otherwise provide unauthorized third-party access to the Service. You are responsible for all activity under your account, API keys, and organization members.
You may not use automation to mass-register accounts, bypass risk controls, evade bans, create duplicate accounts to obtain extra credits, avoid billing, or circumvent restrictions.
4. Upstream Provider Restrictions and Anti-Circumvention
You represent and agree that if OpenAI, Google, Anthropic or any other upstream model, cloud service, API, account, region, or channel policy does not allow you to directly or indirectly access, use, or benefit from its services, you may not use Inference Space to access the relevant capability.
You may not use the Service to bypass any upstream provider or legal restriction, including region availability, sanctions and export controls, account bans, suspensions, terminations, age restrictions, industry restrictions, use-case restrictions, safety policies, content policies, rate limits, anti-abuse rules, API key limits, or contractual limits.
If your account, organization, beneficial owners, customers, end users, location, business purpose, or data type is restricted, rejected, banned, suspended, subject to approval, or subject to additional safeguards by OpenAI, Google, Anthropic, or any other upstream provider, you must complete your own compliance review before using the Service and stop using it if you do not qualify.
You may not use the Service for model scraping, model distillation, training competing models, bypassing safety guardrails, evading content filters, hiding the real end user or use case, reselling unauthorized model access, or helping anyone else circumvent these restrictions.
We may request information about your use case, end users, region, industry, data types, and compliance controls based on risk controls, provider requirements, legal requirements, or reasonable suspicion. If you fail to provide adequate information, we may restrict, suspend, or terminate the Service.
5. Prohibited Uses
You may not use the Service for unlawful, fraudulent, rights-infringing, unsafe, or abusive activity, including malicious cyber activity, phishing, spam, malware, security-control bypass, unauthorized data access, privacy or IP violations, impersonation, scams, deceptive content, or manipulation.
You may not use the Service to generate, assist, or distribute content or workflows involving child sexual exploitation, non-consensual intimate content, terrorism or violent extremism, hate or harassment, self-harm encouragement, weapon development or procurement, illegal drugs or controlled goods, real-money gambling, or unlawful financial activity.
You may not use outputs for medical, legal, financial, insurance, employment, housing, education, law enforcement, migration, critical infrastructure, national security, or other high-impact decisions affecting individual rights unless qualified professionals review the output, AI involvement is disclosed, and applicable law is satisfied.
You may not upload, process, or request outputs based on data, trade secrets, regulated data, sensitive personal information, or third-party confidential information that you are not authorized to use.
6. API Keys and Security
API keys may only be used by you or authorized organization members in server-side, controlled, or expressly approved integrations. You may not expose API keys in public repositories, client code, browsers, mobile packages, logs, screenshots, or insecure channels.
You must use reasonable safeguards for accounts and API keys, including strong passwords, least privilege, key rotation, log redaction, and anomaly monitoring. If you suspect leakage or unauthorized access, immediately delete or rotate the affected key and notify us.
We may set, adjust, and enforce rate limits, credits, concurrency limits, model limits, regional limits, and risk controls for security, availability, billing, or compliance reasons.
7. Inputs, Outputs, and Responsibility
You retain your lawful rights in your inputs and are solely responsible for inputs, outputs, instructions, files, prompts, end-user conduct, and actions taken based on outputs.
You represent that you have all rights, licenses, and permissions needed for the processing of inputs and use of outputs. You may not submit content that would cause us or upstream providers to violate law, contract, privacy duties, intellectual property, or third-party rights.
To the extent permitted by law, AI outputs may be identical or similar to outputs received by others. Before publishing, commercializing, automatically executing, or relying on outputs, you must verify their accuracy, legality, safety, and suitability.
8. Data Processing and Logs
We process account information, authentication data, API key hashes, billing records, top-up records, model-call metadata, error codes, latency, token counts, costs, and security audit logs to provide the Service, bill usage, prevent abuse, troubleshoot, and comply with legal obligations.
To perform inference, request content, files, context, or outputs may be sent to upstream model, cloud, payment, email, security, or infrastructure providers. Those providers may process, retain, review, or delete data under their own terms, privacy policies, and safety policies.
Do not submit sensitive, confidential, or regulated data that should not be processed by third parties unless you have confirmed that the relevant model, region, contract, compliance requirements, and safeguards are suitable.
9. Billing, Credits, and Refunds
The Service may be charged through prepaid credits, subscriptions, usage-based billing, or other methods shown in the Service. Prices, currencies, taxes, top-up amounts, model rates, and platform fees are those shown on the Service, billing page, or order confirmation.
You authorize us or our payment providers to charge the applicable fees. Except where required by law or expressly stated by us, consumed credits, completed requests, fees caused by abuse, and fees arising from breach of this Agreement are non-refundable.
If you identify a billing issue, contact us promptly. We may correct obvious errors, reverse duplicate charges, pause suspicious transactions, or request additional billing information.
10. Service Changes and Availability
We use reasonable efforts to keep the Service available, but do not guarantee that it will be uninterrupted, error-free, delay-free, or compatible with every model or third-party SDK. Maintenance, provider failures, network issues, security events, policy changes, or force majeure may interrupt or degrade the Service.
We may add, modify, suspend, or remove models, endpoints, features, plans, prices, routing, credits, risk controls, and documentation. For material changes, we will provide notice through the Service, email, or in-product notice where reasonably practicable.
11. Restrictions, Suspension, and Termination
If we believe you have violated this Agreement, law, upstream policies, or payment obligations, or that your use may create risk for us, other users, upstream providers, or third parties, we may immediately restrict, suspend, or terminate accounts, API keys, model access, credit usage, or features.
To protect the platform, comply with law, or respond to provider requirements, we may retain necessary logs, deny refunds, revoke promotional credits, delete abusive content, block requests, notify affected parties, or cooperate with competent authorities.
You may stop using the Service or request account deletion through available service flows. Account deletion does not affect fees, liabilities, dispute handling, or information we must retain by law or legitimate operational need.
12. Intellectual Property
The Service, website, console, documentation, API design, branding, software, routing logic, pricing displays, aggregated data, and related technology are owned by us or our licensors. Except as expressly allowed by this Agreement, you may not copy, modify, reverse engineer, scrape, sell, or create derivative services.
You may not remove rights notices, impersonate official channels, imply unauthorized partnerships, or use our brands, domains, pages, interfaces, or outputs to mislead others.
13. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all express or implied warranties, including accuracy, reliability, merchantability, fitness for a particular purpose, non-interruption, non-infringement, and complete security.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, exemplary, or consequential damages, or loss of profits, revenue, goodwill, data, business opportunities, or substitute services.
To the maximum extent permitted by law, our total liability under this Agreement will not exceed the fees you actually paid us for the Service during the three months before the event giving rise to liability; if you paid no fees, the cap is the equivalent of USD 100.
14. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless us, our affiliates, personnel, suppliers, and partners from claims, penalties, losses, costs, and expenses arising from your inputs, outputs, usage, end-user conduct, breach of this Agreement, violation of law, infringement of third-party rights, or circumvention of upstream restrictions.
15. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Singapore, without regard to conflict-of-laws rules. The parties will first attempt to resolve disputes through good-faith negotiation.
If a dispute is not resolved within 30 days, either party may submit it to arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules then in force. The seat of arbitration will be Singapore, the language will be English, and there will be one arbitrator. We may still seek interim or injunctive relief from a court of competent jurisdiction for abuse, unauthorized access, intellectual-property infringement, or security risks.
16. Updates and Contact
We may update this Agreement due to changes in law, provider policies, service capabilities, security, or business needs. Continued use after an update means you accept the updated Agreement. For updates that materially affect your rights or obligations, we will use reasonable efforts to notify you or request renewed acceptance.
This Agreement is the complete agreement between you and us regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
